As per the Canada Not-for-Profit Corporations Act and CIRA’s By-law, in order to vote in the 2023 Board of Directors Election, you must have been a CIRA member at least 21 days prior to the start of voting (specifically, by end of day September 6, 2023) and continue to be a member at the time you cast your ballot.
Under section 23 of the Canada Not-For-Profit Corporations Act, upon receipt of the required Statutory Declaration and payment of a reasonable fee (see section 23(1)), CIRA is required to provide its membership list to those members who submit these materials for the purposes of contacting other members related to the affairs of the organization, including influencing votes in an election. CIRA has set the fee to be $500, which reflects the time and effort exercised by CIRA Staff in preparing and compiling the membership list, which will be donated to The United Way at the end of the year. The membership list is provided through secure channels in an electronic format that is a compilation of the list of members.
While CIRA is obligated by law to provide the list, we take the privacy of member information seriously. CIRA strongly encourages members who receive the list to only contact those members who are part of their professional and/or social circle and to refrain from sending unsolicited mass emails to respect members’ privacy. CIRA also requires that any email sent to members not include tracking links and that members’ information remain in Canada.
We are hopeful that this process strikes the right balance between the privacy of members and CIRA’s obligations under the Canada Not-for-profit Corporations Act.
